STANDARD TERMS AND CONDITIONS OF SALE

1. Prices & Taxes: Prices are as specified in the quotation/order. GST and other applicable statutory levies shall be charged extra unless expressly stated otherwise.

2. Payment Terms: Payment shall be made as per the credit period and terms agreed in the quotation or sales order. Delayed payments may attract interest as mutually agreed and permitted by applicable law.

3. Validity of Quotation: Quotations are valid for the period specified therein. Prices and delivery schedules are subject to confirmation at the time of order acceptance.

4. Order Confirmation & Cancellation: Orders are subject to acceptance by Excel Earthings Private Limited. Confirmed orders cannot be cancelled or modified without our written consent. Reasonable costs incurred due to approved cancellations or changes may be recoverable.

5. Delivery & Dispatch: Delivery dates are estimates unless expressly confirmed in writing. We shall not be liable for delays caused by circumstances beyond our reasonable control.

6. Freight & Transit Risk: Freight, packing, forwarding, loading and unloading charges shall be borne by the buyer unless otherwise agreed in writing. Transit damage or shortages must be recorded with the carrier and notified promptly with supporting evidence.

7. Inspection & Claims: The buyer shall inspect the goods upon receipt. Any shortage, visible damage or quality-related claim must be notified in writing within 7 days of delivery, with relevant supporting documents. This does not limit any rights available under applicable law.

8. Quality & Warranty: Products are warranted to conform to the agreed specifications and applicable declared standards. Any additional warranty shall be subject to the specific warranty terms issued with the product. Claims arising from improper installation, misuse, unauthorized modification or normal wear and tear are excluded to the extent permitted by law.

9. Product Specifications: Product descriptions, drawings and technical specifications shall be as stated in the accepted quotation, approved drawings or applicable product documentation. Any variation must be mutually agreed in writing.

10. Title to Goods: Ownership of goods shall pass in accordance with applicable law and the agreed contractual terms. Delivery, risk transfer and transfer of ownership may occur at different times where legally permitted.

11. Taxes & Statutory Compliance: The buyer shall provide correct GSTIN, billing address, delivery address and other documents required for GST invoicing and statutory compliance. Any additional tax or cost arising from incorrect information supplied by the buyer may be recoverable as permitted by law.

12. Force Majeure: Neither party shall be liable for delay or failure to perform obligations to the extent caused by events beyond its reasonable control, subject to applicable law.

13. Limitation of Liability: To the extent permitted by law, liability shall be limited to the direct loss arising from the relevant supply. Nothing in these terms excludes liability that cannot legally be excluded.

14. Dispute Resolution & Jurisdiction: The parties shall endeavour to resolve disputes amicably. Subject to applicable law and any valid dispute-resolution agreement, the competent courts at Thrissur, Kerala, shall have jurisdiction.

15. Acceptance: Placement of an order against our quotation constitutes acceptance of these terms, unless otherwise agreed in writing by both parties.
